Terms of Service.

These Terms of Service ("Terms") form a legally binding agreement between you and Toniq Live Limited ("Toniq", "we", "us", "our"), a company incorporated in Hong Kong, governing your access to and use of the Toniq platform, website at toniq.live, and associated APIs and services (collectively, the "Services").

By accessing or using our Services, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms. If you do not agree, do not use our Services.

Toniq provides a B2B software platform that enables event organisers and ticketing companies to accept cryptocurrency and stablecoin payments (including USDT) for ticket sales and event-related transactions. Our Services include:

• A payment API for integration with ticketing and event management systems.
• A hosted checkout experience for end-users purchasing event tickets.
• Direct settlement of payments to event organisers' designated cryptocurrency wallets.
• Reporting and transaction tracking tools.

To use certain features of our Services, you must register for an account. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain the security of your account credentials and not share access with unauthorised parties.
• Notify us immediately at contact@toniq.live if you suspect any unauthorised use of your account.
• Be responsible for all activity that occurs under your account.

You agree to use our Services only for lawful purposes. You must not:

• Use the Services for any fraudulent, deceptive, or illegal activity.
• Process payments in connection with prohibited goods or services, including but not limited to: illegal firearms, narcotics, stolen goods, or sanctioned entities.
• Attempt to circumvent or reverse-engineer the platform's security features or API.
• Use the Services to launder money or facilitate any transactions that violate applicable anti-money laundering (AML) or counter-terrorism financing (CTF) laws.
• Misrepresent the nature of your events or business to obtain access to the Services.
• Transmit malicious code, spam, or interfere with the operation of our platform.

Toniq charges a service fee on transactions processed through the platform. Fees are agreed upon during onboarding and set out in your service agreement or dashboard. We reserve the right to modify our fee structure with 30 days' written notice.

Cryptocurrency transactions on the blockchain are irreversible. You are responsible for ensuring the accuracy of wallet addresses and transaction details. Toniq is not liable for losses resulting from incorrect wallet addresses or user error.

You acknowledge and accept that:

• Cryptocurrency markets are volatile. The value of digital assets can fluctuate significantly and Toniq makes no representations regarding the value of any cryptocurrency.
• You are solely responsible for complying with all applicable laws and regulations in your jurisdiction relating to cryptocurrency payments, including tax reporting obligations.
• Toniq is a technology service provider and is not a licensed money service operator, e-money issuer, or financial institution.
• Use of the Services may be restricted or prohibited in certain jurisdictions. It is your responsibility to determine whether use of Toniq is lawful in your location.

All intellectual property rights in the Toniq platform, including software, API, brand assets, and documentation, are owned by or licensed to Toniq Live Limited.

We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or sublicense any part of the platform without our express written consent.

API keys and credentials issued by Toniq are confidential. You must keep them secure and must not expose them publicly. If you believe your credentials have been compromised, you must revoke and regenerate them immediately and notify us at contact@toniq.live.

To the maximum extent permitted by applicable law, Toniq shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Losses arising from blockchain network failures, delays, or third-party wallet issues.
• Losses caused by your failure to maintain account security.

Our total liability to you for any claim arising out of or in connection with the Services shall not exceed the fees paid by you to Toniq in the 3 months preceding the claim.

You agree to indemnify and hold harmless Toniq, its directors, employees, and agents from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of any applicable law.

Either party may terminate these Terms at any time with written notice. We may suspend or terminate your access immediately without notice if we believe you have violated these Terms or applicable law, or if required to do so by a regulatory authority.

Upon termination, your right to use the Services ceases immediately. Outstanding balances and obligations survive termination.

These Terms are governed by the laws of Hong Kong Special Administrative Region. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms.
